These Terms of Service ("Terms") apply to your access to and use of the websites, applications, hosted pages, APIs, developer tools, documentation, support channels, and related services provided by Mailrith (collectively, the "Services"). Mailrith is operated by Rawool Publications. In these Terms, "Mailrith," "we," "us," and "our" refer to the Mailrith service and its operator.

By registering for, signing in to, accessing, or otherwise using the Services, you agree to these Terms. In these Terms, "you," "your," and "Customer" mean the person or entity that accesses or uses the Services, creates or controls a Mailrith account or workspace, or accepts these Terms. If you access or use the Services on behalf of a company, organization, partnership, or other legal entity, "you," "your," and "Customer" include that entity, and you represent and warrant that you have authority to bind that entity.

If you do not agree to these Terms, you must not access or use the Services.

If Mailrith and your organization have signed a separate written agreement that expressly governs the Services, that signed agreement controls to the extent it conflicts with these Terms.

Nothing in these Terms excludes, restricts, or modifies any right, warranty, remedy, guarantee, or liability that cannot be excluded, restricted, or modified under applicable law.

Except for obligations expressly stated in these Terms, the Data Processing Addendum where applicable, or another written agreement signed by Mailrith, no website page, support response, documentation, roadmap, feature description, security summary, privacy overview, marketing material, report, template, example, or other communication creates a warranty, representation, guarantee, service-level commitment, fiduciary duty, professional duty, or other legal obligation of Mailrith.

## 1. Your Information And Privacy

In order to operate and provide the Services, Mailrith collects and processes certain information about you. Mailrith handles that information as described in the Privacy Policy. You acknowledge that your use of the Services is subject to the Privacy Policy and understand that it describes Mailrith's privacy practices without creating service-level commitments, warranties, remedies, or obligations except to the extent expressly required by applicable law or these Terms.

If you use the Services on behalf of an organization and Mailrith processes Subscriber Personal Data for that organization as a processor, service provider, contractor, or similar role under applicable Data Protection Laws, the then-current Data Processing Addendum applies to that processing to the extent stated in the Data Processing Addendum.

You are responsible for all notices, consents, permissions, lawful bases, privacy choices, records, and instructions required for Customer Content, Subscriber information, forms, landing pages, tracking, imports, exports, APIs, webhooks, connected providers, and messages sent through or in connection with the Services.

## 2. Changes To These Terms

Mailrith may provide different or additional terms, conditions, guidelines, policies, order terms, feature terms, beta terms, or rules in relation to certain Services. Those supplemental terms become part of your agreement with Mailrith if you use the applicable Services. If supplemental terms conflict with these Terms, the supplemental terms control for that conflict only.

Mailrith may amend these Terms from time to time. Mailrith may provide notice by revising the date above, posting a notice through the Services, sending an email, or using another notice method. Unless a later effective date is stated, amended Terms are effective when posted or otherwise made available. Continued access to or use of the Services after amended Terms become effective constitutes acceptance of the amended Terms to the fullest extent permitted by applicable law.

If you do not agree to amended Terms, you must stop using the Services and, where applicable, cancel your account or subscription according to the available cancellation process.

## 3. Using The Services

You must be at least 18 years old and legally able to enter into these Terms to use the Services. You may not use the Services if applicable law, sanctions, provider restrictions, prior Mailrith enforcement action, or these Terms prohibit you from doing so.

You must provide accurate account, workspace, billing, tax, sender, domain, and contact information and keep that information current. Mailrith may rely on information provided through your account, workspace, billing portal, support communications, integrations, or authorized users.

You are responsible for all activity under your account, workspaces, users, roles, API keys, webhooks, connected providers, credentials, domains, sender identities, and authorized integrations, whether or not you authorized the activity.

You must maintain the confidentiality and security of credentials, API keys, OAuth grants, webhook secrets, connected-provider accounts, administrative access, exported data, and devices used to access the Services. You must promptly notify Mailrith if you believe any account, credential, key, token, workspace, or connected provider has been compromised.

Mailrith may reclaim, reserve, change, disable, or remove usernames, handles, slugs, hosted-page paths, Mailrith-provided URLs, sender identifiers, or similar identifiers where Mailrith believes the action is needed to protect the Services, prevent confusion, resolve a rights claim, avoid abuse, or comply with law or provider requirements.

You may use the Services only in compliance with these Terms, applicable law, provider requirements, platform rules, and any documentation, product limits, or notices made available by Mailrith.

The Services are not directed to children. You may not use the Services to target children or process children's personal information unless you have all legally required authority, notices, consents, and safeguards and Mailrith has expressly approved the use in writing.

You may not access or use the Services in violation of export-control, sanctions, embargo, anti-boycott, anti-money-laundering, anti-bribery, anti-corruption, or similar laws, or if you are located in, ordinarily resident in, organized under the laws of, or acting on behalf of a restricted jurisdiction, party, or list where such use would be prohibited.

## 4. User Content

As between you and Mailrith, you retain ownership of content, data, and materials you submit to, store in, transmit through, display through, import into, export from, or generate through the Services, including Subscribers, tags, segments, custom fields, forms, landing pages, templates, broadcasts, sequences, automations, reports, imports, exports, API payloads, and related materials ("Customer Content").

You grant Mailrith and its service providers a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, process, transmit, display, copy, back up, reproduce, modify for technical purposes, disclose, and otherwise use Customer Content as necessary or appropriate to provide, secure, maintain, support, operate, analyze, improve, and enforce the Services; comply with law; prevent abuse; and follow your instructions.

You represent and warrant that you have all rights, permissions, notices, consents, lawful bases, and authority necessary for Customer Content and for Mailrith to process Customer Content as contemplated by these Terms, the Privacy Policy, the Data Processing Addendum where applicable, and your product configuration.

You are solely responsible for Customer Content, including its legality, accuracy, source, permissions, retention, deletion, content, targeting, timing, recipients, and use with connected providers.

Mailrith may remove, disable, preserve, restrict, refuse to process, or refuse to transmit Customer Content if Mailrith believes the Customer Content or related activity may violate these Terms, applicable law, provider requirements, third-party rights, or create risk for Mailrith, recipients, providers, Mailrith Customers, or others.

## 5. Paid Services

Mailrith may offer paid, trial, subscription, usage-based, promotional, beta, or other Services. Plan terms, prices, limits, taxes, renewal terms, and charges may be shown on a pricing page, checkout page, customer portal, order flow, in-app notice, invoice, or other applicable place.

By purchasing a paid Service, selecting a paid plan, clicking a checkout or subscription button, or otherwise authorizing payment, you authorize Mailrith and its payment provider to charge the payment method provided for all applicable fees, taxes, renewals, and charges. That authorization is the legal equivalent of your electronic signature to the fullest extent permitted by law.

Payment information is processed by Mailrith's payment provider. Mailrith does not intentionally store full payment card numbers where a payment provider is responsible for card processing, though Mailrith may receive billing contact information, invoice information, payment status, subscription identifiers, tax information, and limited payment-method details from the payment provider.

You are responsible for keeping payment information current and for all fees incurred through your account or workspace. If a payment method cannot be charged, Mailrith may retry the charge, request updated payment information, suspend paid features, cancel the subscription, or restrict access to the Services.

Subscriptions renew until cancelled. Unless applicable law requires otherwise or Mailrith expressly states otherwise in writing, cancellation takes effect at the end of the then-current billing period, and amounts already paid are non-refundable, non-cancellable, and not subject to setoff, deduction, or withholding.

If Mailrith provides a free trial or promotional access, the trial or promotion may end automatically unless you start a paid Service before the trial or promotion ends. Mailrith may change, limit, revoke, or discontinue trials, promotions, or beta access at any time to the fullest extent permitted by law.

You are responsible for taxes, duties, levies, withholding obligations, bank charges, currency conversion costs, payment-provider fees, and similar assessments that apply to your purchase, except taxes based solely on Mailrith's net income.

Mailrith may change prices, plan limits, feature availability, trial terms, promotional terms, billing models, usage calculations, and payment methods. Any notice for a change may be provided as required by applicable law or as otherwise determined by Mailrith.

Any refund, cancellation, tax, billing, or renewal right that cannot be waived under applicable consumer, payment, or tax law applies only to the extent required by that law.

## 6. Connected Payment Services

The Services may allow you to connect Customer-connected payment, checkout, billing, subscription, invoice, or commerce-related providers. Mailrith does not itself act as your payment processor, merchant of record, marketplace, escrow agent, tax advisor, or seller of your products or services unless a separate written agreement signed by Mailrith expressly states otherwise.

Customer-connected payment services are third-party services governed by their own terms, policies, fees, tax rules, payout rules, dispute processes, chargeback rules, security practices, data processing terms, and compliance obligations.

You are solely responsible for your products, services, offers, prices, taxes, refunds, cancellations, chargebacks, customer support, fulfillment, legal notices, consumer-law obligations, and payment-provider compliance.

Mailrith may display, transmit, store, or process payment-related information made available through connected payment services to provide the Services, but Mailrith does not control whether a payment provider approves, rejects, delays, reverses, freezes, or reports a transaction.

## 7. Prohibited Conduct And Content

You may not use the Services in any manner that violates law, harms people, abuses email infrastructure, disrupts the Services, infringes rights, causes liability, damages reputation, or violates these Terms. Prohibited conduct and content include, without limitation:

- Sending spam, unwanted bulk email, deceptive email, or email without permission or another lawful basis.
- Using purchased, rented, scraped, harvested, appended, co-registered, or third-party lists unless you can demonstrate lawful permission for every recipient.
- Using false, misleading, or deceptive sender details, subject lines, reply-to details, headers, links, forms, hosted pages, unsubscribe flows, identity details, or affiliation claims.
- Collecting, importing, storing, sending, or otherwise processing personal information without required notice, consent, lawful basis, or authority.
- Uploading or processing special category data, health data, biometric identification data, genetic data, payment card numbers, government identity numbers, passwords, children's data, or other highly sensitive information unless Mailrith has expressly approved the use in writing.
- Phishing, impersonation, malware, credential theft, account takeover, evasion of security controls, unauthorized vulnerability testing, or attempts to access data that does not belong to you.
- Harassment, threats, discrimination, unlawful content, defamatory content, infringing content, exploitative content, sexually explicit content involving minors, or content that creates risk for Mailrith or others.
- Scraping, crawling, data mining, benchmarking for competitive purposes, reverse engineering, overloading, disrupting, interfering with, or bypassing the Services except as expressly permitted by these Terms or a written agreement signed by Mailrith.
- Reselling, sublicensing, white-labeling, timesharing, service-bureau use, or making the Services available as a competing service without Mailrith's written permission.

## 8. Copyright And Repeat Infringer Policy

Mailrith may remove or disable access to content and may suspend or terminate accounts of users that Mailrith believes repeatedly infringe intellectual property rights or otherwise violate applicable copyright or intellectual property laws.

If you believe content made available through the Services infringes copyright or another intellectual property right that you own or control, you may send a notice to support@mailrith.com with the subject line Copyright Notice.

A notice should identify the work claimed to be infringed, the allegedly infringing material, the location of the material, your contact information, a statement of good-faith belief, a statement that the information in the notice is accurate, and proof of authority to act for the rights holder. If applicable law requires a different notice process, the legally required process controls.

If you knowingly misrepresent that material or activity is infringing, you may be liable for damages, costs, fees, or other remedies available under applicable law.

## 9. Ownership; Limited License

Mailrith and its licensors own all right, title, and interest in and to the Services, software, interfaces, workflows, code, designs, marks, trade names, logos, documentation, templates, know-how, data models, and other materials provided by or on behalf of Mailrith, excluding Customer Content.

Subject to these Terms, Mailrith grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes.

If Mailrith provides hosted forms, hosted landing pages, public links, Mailrith-provided domains, subdomains, paths, or similar hosted identifiers, Mailrith grants you only a limited, revocable, non-transferable, non-sublicensable license to use them with the Services according to these Terms. Mailrith may change, suspend, disable, redirect, or terminate those hosted identifiers where permitted by law, provider requirements, or these Terms.

No rights are granted except as expressly stated in these Terms. You may not copy, modify, sell, lease, sublicense, reverse engineer, decompile, disassemble, make available, or create derivative works from the Services except to the extent applicable law prohibits the restriction or Mailrith gives written permission.

## 10. Trademarks

Mailrith names, logos, product names, service names, slogans, designs, and marks are trademarks or trade identifiers of Mailrith or its licensors. You may not use Mailrith marks without Mailrith's prior written permission except as permitted by applicable law.

Other names, logos, product names, service names, slogans, designs, and marks appearing in or through the Services are the property of their respective owners. Reference to third-party marks does not imply endorsement, sponsorship, or affiliation unless expressly stated by the owner.

## 11. Feedback

If you submit questions, comments, suggestions, ideas, bug reports, recommendations, or other feedback about Mailrith or the Services, you grant Mailrith a non-exclusive, worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free, fully paid-up license to use, disclose, reproduce, modify, distribute, commercialize, and otherwise exploit that feedback for any purpose without restriction, attribution, or payment.

Mailrith may treat feedback as non-confidential and may own products, services, features, improvements, materials, or intellectual property created, modified, or improved using feedback.

## 12. Third-Party Content

The Services may display, link to, reference, rely on, interoperate with, or be provided together with third-party websites, services, content, software, data, providers, platforms, apps, APIs, models, tools, and materials.

Third-party content and third-party materials are beyond Mailrith's control, and their operation, availability, security, accuracy, terms, privacy practices, data processing, or reliability may affect the Services.

Mailrith does not endorse, control, warrant, monitor, or assume responsibility for third-party content or third-party materials, even if they are accessible through, recommended by, or interoperable with the Services.

Your access to and use of third-party content and third-party materials is at your own risk and may be subject to separate terms, policies, fees, limitations, licenses, and compliance requirements.

## 13. Promotions

Any sweepstakes, contests, raffles, surveys, games, referral offers, promotional credits, beta invitations, or similar promotions made available by Mailrith may be governed by separate rules. If promotion rules conflict with these Terms, the promotion rules govern for the applicable promotion.

Mailrith may change, suspend, terminate, or disqualify participation in promotions to the fullest extent permitted by applicable law and the applicable promotion rules.

## 14. Subscriber Information And Email Compliance

You are solely responsible for the legality, source, accuracy, quality, permission status, lawful basis, notice, consent, suppression, retention, deletion, segmentation, targeting, and use of Subscriber information that you add to or process through the Services.

You must comply with all email, privacy, data protection, consumer protection, anti-spam, marketing, platform, provider, and telecommunications laws and rules that apply to your Customer Content, Subscriber information, forms, landing pages, domains, sender identities, imports, exports, tracking, automations, and connected providers.

Without limiting the foregoing, laws and rules that may apply include CAN-SPAM, GDPR, UK GDPR, CASL, CCPA/CPRA, the Colorado Privacy Act, other US state privacy laws, India's Digital Personal Data Protection Act and related rules when in force and applicable, and similar laws in jurisdictions where you, Mailrith, your providers, or your recipients are located.

You must maintain records sufficient to demonstrate the source, permission, lawful basis, unsubscribe status, suppression status, consent status, and compliance status of Subscriber information where required by law, provider rules, or these Terms.

Commercial, marketing, or promotional email sent through or in connection with the Services must include accurate sender, header, routing, identity, and contact information; non-deceptive subject lines; any required advertising or promotional disclosure; a valid physical postal address where required; and a clear, functioning unsubscribe or opt-out mechanism where required.

You must honor unsubscribe, suppression, consent-withdrawal, opt-out, deletion, objection, restriction, and similar requests within the time required by applicable law and provider rules. You must not charge a fee, require unnecessary information, or require a recipient to take unreasonable steps to opt out where prohibited by law.

If another person, contractor, affiliate, agency, partner, list source, or connected provider sends messages, collects Subscribers, supplies lists, manages forms, or performs marketing activity for you, you remain responsible for that activity and for monitoring compliance. You may not avoid email, privacy, consumer-protection, or provider obligations by outsourcing the activity.

Mailrith tools for consent tags, suppression, unsubscribe handling, exports, deletion, segmentation, privacy requests, and reporting are operational tools only and do not constitute legal advice, compliance advice, or a guarantee of legal compliance.

## 15. Connected Providers

The Services may interoperate with Customer-connected third-party services, including email delivery services, AI providers, payment tools, DNS providers, CRMs, webhooks, Zaps, API clients, analytics tools, identity providers, and other systems.

Third-party services are governed by their own terms, policies, fees, security practices, limits, availability, data processing terms, and compliance obligations. You are solely responsible for selecting, authorizing, configuring, securing, paying for, reviewing, and lawfully using third-party services.

Mailrith does not control and is not responsible for any third-party service's acts, omissions, availability, security, confidentiality, deliverability, rate limits, suspensions, rejections, data location, retention, deletion, privacy practices, compliance obligations, or terms.

If a third-party service is unavailable, misconfigured, rate limited, suspended, compromised, or rejects activity, Services that depend on that third-party service may fail, pause, delay, or produce incomplete results.

You authorize Mailrith to disclose Customer Content, Subscriber information, account information, and usage information to Customer-connected providers as reasonably necessary for the connection, feature, instruction, or workflow you enable. You are responsible for reviewing those providers' terms, privacy notices, data processing terms, transfer mechanisms, security practices, retention practices, deletion practices, AI terms, training or model-use terms, and compliance posture.

You are responsible for completing deletion, export, suppression, restriction, objection, withdrawal, opt-out, or other privacy actions inside Customer-connected third-party services where required.

## 16. APIs And Developer Tools

If you use Mailrith APIs, webhooks, SDKs, MCP tools, extensions, or other developer tools, you are responsible for the applications, automations, requests, payloads, integrations, systems, and recipients affected by that use.

You may not use APIs or developer tools to bypass product limits, security controls, billing controls, rate limits, user permissions, account restrictions, abuse controls, or enforcement actions.

You must keep API keys, OAuth credentials, webhook secrets, integration tokens, and similar credentials confidential and secure.

If Subscriber information is sent to you through webhooks, exports, APIs, or integrations, you are responsible for protecting that information, avoiding unnecessary retention, and honoring applicable deletion, restriction, objection, suppression, withdrawal, opt-out, and unsubscribe requests in your own systems.

## 17. Enforcement And Account Actions

Mailrith may, but is not required to, monitor, review, investigate, preserve, remove, or restrict Customer Content, accounts, workspaces, imports, hosted pages, emails, integrations, API activity, or other activity to operate the Services, provide support, enforce these Terms, comply with law, protect recipients, respond to complaints, prevent abuse, address security issues, or protect Mailrith or others.

Mailrith's exercise or non-exercise of enforcement discretion does not create a duty to monitor, private right of action, fiduciary duty, representation that the Services contain no prohibited activity, or waiver of any right.

Mailrith may reject imports, limit sending, disable hosted pages, limit exports, remove content, preserve evidence, contact providers, suspend access, terminate accounts, retain amounts already paid, or take other action Mailrith considers appropriate where Mailrith believes a violation, payment issue, legal issue, deliverability issue, security issue, provider complaint, Subscriber complaint, or risk exists.

## 18. Indemnification

To the fullest extent permitted by applicable law, you will defend, indemnify, and hold harmless Mailrith, its operator, affiliates, service providers, officers, employees, contractors, agents, licensors, suppliers, and representatives from and against any claims, demands, proceedings, losses, damages, liabilities, fines, penalties, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to Customer Content, Subscriber information, sending practices, connected providers, third-party services, your products or services, your violation of these Terms, your violation of law or provider rules, your tax obligations, your payment disputes, or your infringement, misappropriation, or violation of third-party rights.

Mailrith may control the defense and settlement of any matter subject to indemnification at your expense. You may not settle any matter in a manner that imposes liability or obligations on Mailrith without Mailrith's prior written consent.

## 19. Disclaimers

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MAILRITH DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, AND WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

MAILRITH DOES NOT REPRESENT OR WARRANT THAT THE SERVICES, API, CUSTOMER CONTENT, REPORTS, SCORES, THIRD-PARTY MATERIALS, THIRD-PARTY SERVICES, CONNECTED PROVIDERS, EMAIL DELIVERY, TRACKING, AUTOMATIONS, OR PROVIDER CONNECTIONS WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, UNINTERRUPTED, ERROR-FREE, SECURE, FREE OF HARMFUL COMPONENTS, LEGALLY COMPLIANT FOR YOUR USE CASE, OR SUITABLE FOR ANY PARTICULAR RESULT.

MAILRITH'S DOCUMENTATION, SECURITY INFORMATION, PRIVACY INFORMATION, FEATURE DESCRIPTIONS, ROADMAPS, SUPPORT RESPONSES, EXAMPLES, TEMPLATES, BENCHMARKS, REPORTS, AND OTHER NON-CONTRACTUAL MATERIALS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CREATE WARRANTIES, REPRESENTATIONS, GUARANTEES, SERVICE-LEVEL COMMITMENTS, PROFESSIONAL ADVICE, OR LEGAL OBLIGATIONS UNLESS EXPRESSLY INCLUDED IN A WRITTEN AGREEMENT SIGNED BY MAILRITH.

NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY MAILRITH, ITS SERVICE PROVIDERS, CONTRACTORS, OR REPRESENTATIVES CREATES ANY WARRANTY, REPRESENTATION, GUARANTEE, OR OBLIGATION NOT EXPRESSLY STATED IN THESE TERMS OR ANOTHER WRITTEN AGREEMENT SIGNED BY MAILRITH.

ANY DISCLAIMERS IN THESE TERMS ARE MADE FOR THE BENEFIT OF MAILRITH, ITS OPERATOR, AFFILIATES, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, SUPPLIERS, AND THEIR RESPECTIVE SUCCESSORS AND ASSIGNS.

## 20. Limitation Of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MAILRITH AND THE MAILRITH PARTIES WILL NOT BE LIABLE UNDER ANY THEORY OF LIABILITY, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, STATUTE, EQUITY, OR OTHERWISE, FOR INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, PUNITIVE, SPECIAL, ENHANCED, OR SIMILAR DAMAGES; LOST PROFITS; LOST REVENUE; LOST GOODWILL; LOST DATA; LOSS OF SUBSCRIBERS; BUSINESS INTERRUPTION; PROVIDER SUSPENSION; DELIVERABILITY HARM; REPUTATIONAL HARM; OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MAILRITH'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, REGARDLESS OF THE FORM OF ACTION, IS LIMITED TO THE GREATER OF INR 10,000 OR THE AMOUNT PAID BY YOU TO MAILRITH FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

The limitations in this section do not limit liability that cannot be limited under applicable law.

## 21. Release

To the fullest extent permitted by applicable law, you release Mailrith and the Mailrith Parties from responsibility, liability, claims, demands, and damages of every kind and nature, known and unknown, arising out of or relating to disputes between users, disputes with Subscribers, Customer-connected providers, third-party services, third-party materials, provider decisions, recipient actions, or acts or omissions of third parties.

## 22. Transfer And Processing Data

In order to provide the Services, Mailrith and its service providers may process, access, transfer, and store information in India and other countries. Those countries may have data protection laws different from the laws where you or your Subscribers are located.

You are responsible for ensuring that your use of the Services, connected providers, and transfer settings complies with laws that apply to your business and Subscribers.

Customer-connected providers may process, store, access, or transfer information in regions selected, configured, or accepted by you. Mailrith is not responsible for Customer-connected providers' transfer mechanisms, hosting regions, or compliance posture.

## 23. Dispute Resolution

Before filing a claim, you agree to contact support@mailrith.com with a description of the dispute, the relief requested, and the information reasonably necessary to evaluate the dispute, and to give the parties a reasonable opportunity to resolve the dispute informally unless urgent injunctive relief, legal process, or applicable law requires otherwise.

To the fullest extent permitted by applicable law, disputes must be brought only on an individual basis and not as a class action, representative action, collective action, private attorney general action, or other proceeding brought on behalf of another person or group.

To the fullest extent permitted by applicable law, you and Mailrith waive any right to a jury trial or to participate in a class, consolidated, collective, representative, or private attorney general proceeding.

Nothing in this section prevents Mailrith from seeking injunctive, equitable, protective, collection, anti-abuse, security, intellectual-property, or account-protection relief in any court of competent jurisdiction where Mailrith determines such relief is appropriate.

## 24. Governing Law And Venue

These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of India, without regard to conflict-of-law rules that would cause the laws of another jurisdiction to apply.

Subject to applicable law, any dispute that is not resolved informally will be brought exclusively in the courts located in Hyderabad, Telangana, India, and you consent to the jurisdiction and venue of those courts.

If applicable consumer law requires a different governing law, forum, or dispute process, this section applies only to the extent it does not conflict with that law.

## 25. Modifying And Terminating Our Services; Survival

Mailrith may change, suspend, discontinue, replace, limit, or condition any Service, feature, integration, provider connection, API, report, template, beta feature, plan, or support channel at any time.

The Services may be unavailable, delayed, degraded, incomplete, or interrupted because of maintenance, upgrades, provider failures, internet issues, payment issues, Customer configuration, DNS issues, browser issues, abuse controls, security events, force majeure events, or other causes.

Mailrith may suspend or terminate your access to the Services at any time to the fullest extent permitted by applicable law and these Terms. You may stop using the Services at any time, but stopping use does not relieve you of payment obligations, legal obligations, or obligations that accrued before termination.

Before cancelling, terminating, or allowing an account or workspace to lapse, you should export Customer Content and Subscriber information that you need to retain. After suspension, cancellation, termination, plan downgrade, payment failure, or account closure, Customer Content may be unavailable, deleted, disabled, or retained only as described in applicable terms, product controls, backup cycles, legal requirements, provider requirements, or Mailrith's then-current practices.

Sections that by their nature should survive termination survive termination, including provisions concerning ownership, Customer Content licenses, payment obligations, prohibited conduct, enforcement, feedback, third-party materials, disclaimers, indemnification, limitation of liability, release, dispute resolution, governing law, venue, severability, and miscellaneous terms.

## 26. Severability

If any provision of these Terms is found unenforceable or unlawful, the provision will be modified to the minimum extent necessary to make it enforceable while preserving the original intent as much as possible. If modification is not possible, the provision will be severed and the remaining provisions will remain in effect.

## 27. Miscellaneous

These Terms, together with the Privacy Policy, Data Processing Addendum where applicable, and any supplemental terms that apply to particular Services, constitute the entire agreement between you and Mailrith regarding the Services.

Mailrith's failure to enforce any provision is not a waiver. A waiver is effective only if in writing and signed by Mailrith.

You may not assign or transfer these Terms or any rights or obligations under them without Mailrith's prior written consent. Mailrith may assign or transfer these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, corporate transaction, or by operation of law.

Mailrith will not be liable for delay or failure to perform caused by events beyond Mailrith's reasonable control, including provider failures, internet failures, labor disputes, government actions, acts of war, terrorism, civil unrest, natural disasters, public health emergencies, power failures, cyberattacks, payment-network failures, or other force majeure events.

You consent to receive notices, disclosures, communications, and records electronically through the Services, by email, through a customer portal, by posting to Mailrith websites, through in-app messages, or by another electronic method Mailrith uses, except where applicable law requires a different method.

By creating an account, starting a trial, purchasing a paid Service, or otherwise using the Services, you may receive transactional, administrative, support, billing, security, product, legal, service, and relationship communications from Mailrith. Where permitted by law and your communication preferences, Mailrith may also send promotional communications by email, in-app message, or other available channels. If you provide or opt in with a phone number, Mailrith may send SMS or text messages where permitted by law and your consent.

If applicable law gives you a non-waivable consumer, privacy, payment, or statutory right, these Terms apply only to the fullest extent permitted by that law.

Headings are for convenience only and do not affect interpretation. The words include and including mean including without limitation. References to laws include amendments and replacements. Except where expressly stated, these Terms do not create third-party beneficiary rights.
